If you do not agree to these Terms of Use or the Privacy Policy, you must not use the Services and/or must immediately discontinue the Services and/or uninstall the mobile application. Karmanx reserves the right to amend these terms and conditions at any time by posting an updated version on the karmanx.com Website(s), Application(s), or Platform(s). The updated version of the Terms of Use will take effect immediately upon posting. It is your responsibility to review these Terms of Use periodically for updates or changes. Your continued use of the karmanx.com Website(s), Application(s), and/or Platform(s) after changes have been posted signifies your acceptance of and agreement to the revisions, including additional terms, modifications, or removal of any part of these Terms.

As long as you comply with these Terms of Use, we grant you a personal, non-exclusive, non-transferable, limited privilege to access and use the Services. Definition

• “We”, “Us”, “Our”, “Company”, “Karmanx” – Refers to Karmanx School Private Limited and its entities.

• “You”, “Yours”, “User”, “Yourself”, “Karmanx User” – Refers to any non-registered individual or corporate body, registered user of Karmanx and Karmanx entities, including but not limited to Karmanx customers or Business Partners.

• Business Partners – Refers to any individual or group of individuals with whom Karmanx or Karmanx Entities have a contractual relationship. This may include, but is not limited to, Educational Institutes, Colleges, Schools, Individuals, Teachers, Ed-Tech Companies, Advertisers, Deal partners, Financial Institutions, etc.

• Code of Conduct – Refers to the required code of conduct for all students enrolled in various courses/programs/seminars/other services offered by Karmanx. The Code of Conduct may be amended from time to time without advance notice, and it is presumed that you will review the Code of Conduct on a regular basis.

• “Content/Karmanx Content” – Refers to any and all information and data, which may include but is not limited to text, software, scripts, graphics, maps, photos, sounds, music, projects, courses, programs, assignments, presentations, lectures, conversations in virtual space, videos, logos, offers, advertisements, virtual classes, interactive features, video lessons, quizzes, homework assignments, programming assignments, programs, code, and other images, text, layouts, arrangements, displays, illustrations, documents, materials, audio and video clips, HTML files, and other materials available on the Karmanx Application, Karmanx Platform, and Karmanx Website.

• Force Majeure – Refers to any event that is beyond the reasonable control of Karmanx. This includes but is not limited to war, riots, fire, flood, acts of God, explosion, strikes, lockouts, satellite failure, civil commotion, slowdowns, prolonged shortages of energy supplies, pandemics, computer hacking, man-made disasters, unauthorized access to computer data and storage devices, computer/server crashes, acts of state, governmental, legal, or regulatory actions prohibiting or impeding Karmanx or Karmanx Entities from performing their respective obligations.

• “Application/Karmanx Application” – Refers to the mobile or web application(s) hosted by Karmanx and/or Karmanx entities to provide Karmanx services to users.

• “Website/Karmanx Website” – Refers to www.karmanx.com, which is registered by Karmanx and used as a medium to communicate with and inform users about the services provided by Karmanx and/or Karmanx Entities.

• Karmanx Entities – Refers to the group, affiliates, associates, and subsidiaries of Karmanx.

• “Platform/Karmanx Platform” – Refers to any platform owned by Karmanx or any other Karmanx Entities, including but not limited to websites, mobile applications, web applications, AR applications, devices, URLs/links, notifications, chatbots, or any other communication medium used by Karmanx and/or Karmanx Entities to provide services to users.

• Services/Karmanx Services – Includes all services provided or to be provided by Karmanx and/or Karmanx Entities as a group, including but not limited to virtual courses, programs, seminars, assignments, simulation tests/evaluations, placement evaluations, and all other services offered by Karmanx through the Application, Website, and Platforms.

• Service Providers – Refers to any individual or group of individuals whose services are used by Karmanx or Karmanx Entities to provide the intended services to you through the Website, Application, or Platform.

• “Terms of Use”/“Terms and Conditions”/“Terms” – These terms are used interchangeably and carry the same meaning.

Eligibility

By accessing the Services of Karmanx through the Website, Application, and/or Platform, you represent that:

• You are 18 years of age or older. If you are under 18 years of age, it is presumed/implied/deemed that you are accessing the Services with the consent of your legal guardian.

• You are capable of entering into a contract/legally binding agreement, either directly or through your legal guardian.

• You, either directly or through your legal guardian, have the right, authority, and capability to enter into this Agreement and abide by all provisions of the "Terms of Use" of Karmanx Services.

• You are not barred or legally prohibited from accessing or using the services of Karmanx or Karmanx Entities under the laws of India.

• You are not impersonating any person or entity, or falsely stating your age or affiliation with any person or entity.

Karmanx and Karmanx Entities reserve the right to terminate your contract to use any Karmanx Services through the Website, Application, or Platform in the event of any incorrect representation of the above-mentioned conditions.

All documents and information submitted by you for any Karmanx Services through the Website, Platform, or Application are true, correct, authentic, and belong to you.

Conduct Policy of the User

Whether you have enrolled in any Karmanx Services or are simply browsing the Website, Application, or Platform, once you access the Website, Application, Platform, and/or any Karmanx Services, you are considered a ‘user’ for the purposes of these Terms and Conditions. You are responsible for all your activities in connection with the use of the Website, Application, Platform, and/or any Karmanx Services. By using these services, you agree to fully comply with all applicable local, provincial, state, national, and international laws, treaties, and regulations.

You shall not engage in unethical practices while using the Website, Application, Platform, and/or Karmanx Services. Specifically, you agree not to:

• Post or transmit any communication or solicitation, or cause it to be posted or transmitted, that constitutes "phishing," "pharming," or "whaling" designed to obtain passwords, accounts, personal information, confidential information, or private information from any user of the Website, Application, Platform, or any third party.

• If any such event occurs, Karmanx shall not be liable for any loss of data, compromise of the user's device or computer system, or any other damage.

You acknowledge and agree that Karmanx has the right to report any suspicious or illegal activity to the appropriate legal or police authorities without notice to you.

As a user, you agree to:

• Not harass other users, students, instructors, guest lecturers, mentors, agents, or visitors.

• Not create an atmosphere of disharmony or hostility within student groups.

• Not cheat on any assignments or exams for Karmanx Services.

• Not post secured testing materials online.

• Not share solutions to assignments or exams.

• Notify instructors immediately if you become aware of any user cheating or breaching these Terms and Conditions.

• Comply with the specific Code of Conduct applicable to the Karmanx Services in which you are enrolled.

• Adhere to the Code of Conduct upon enrolling in any of the Karmanx Services through the Website, Application, or Platform.

User Accounts, User Registration, and Delivery of Services

To participate in Karmanx Services, you will need to register for a personal account (“User Account”) by completing the registration process and creating unique credentials such as a User ID and password. Upon payment of the applicable fees for the respective Karmanx Services, whether in part or full (depending on the options available for the respective Karmanx Service), you agree to abide by these terms, the Code of Conduct, and any other applicable terms for the respective Karmanx Service. Once payment is successful, Karmanx will grant you access to the selected Service. You will receive an invoice and email confirmation as proof of payment.

In exceptional circumstances, if Karmanx grants you access to any Service before receiving payment, but payment is not completed within the stipulated time period, Karmanx reserves the right, at its sole discretion, to withdraw your access to the Website, Platform, Application, and/or Karmanx Services without prior notice.

You agree that you will not share your User Account credentials (User ID, password, or any other login information) with any third party for any reason whatsoever. Additionally, you agree to create, use, and access only one User Account and not to use any other User Account than your own. During the registration process, you may be prompted to provide additional information, including but not limited to your name, email address, mobile number, and LinkedIn account details. Additional information or documents may also be required to verify your identity.

You understand and agree that all information you provide is accurate, current, and complete, and you agree to maintain and update this information as necessary. If any information provided is found to be untrue, inaccurate, outdated, or incomplete, Karmanx reserves the right to terminate your access to the Karmanx Services, Platform, Website, or Application, as well as your enrollment in Karmanx Services.

In addition to the registration process, we will obtain certain information about you and your performance while you avail of Karmanx Services. Some of this information may be Personally Identifiable Information, which we may use, maintain, and store to provide services to you now and in the future. We may also share this information with our Business Partners, prospective employers, or third parties in connection with the services or for marketing purposes. For example, as detailed in our Privacy Policy, we may share your grades, scores, assignments, or projects while you participate in Karmanx Services.

By registering your User Account, you authorize Karmanx to contact you by phone, even if you are registered under DND, DNC, or NCPR services, for the purposes mentioned above.

Access to Karmanx Services is restricted to attendees or students who have been specifically granted access by Karmanx. By registering a User Account, you agree that:

• You will register for the Service only once and will not create multiple User Accounts.

• You will comply with these Terms and any other specific terms or Code of Conduct applicable to the respective Karmanx Service.

• If you are enrolled in Karmanx Services as a student, in addition to the above, you agree to complete the entire course and relevant assignments that are part of the Karmanx Service into which you have enrolled.

There may be certain products recommended by Karmanx to enhance your learning experience. You understand and acknowledge that once these products are ordered, they cannot be returned. You also acknowledge that Karmanx is not the manufacturer of the instrument/medium/hardware, and any defects should be reported directly to the manufacturer, whose details will be provided on the packaging. Karmanx will not be responsible for any defects or provide any warranty or guarantee for these products.

We advise you not to accept any product(s) package that appears to be tampered with, opened, or damaged at the time of delivery. You are solely responsible for receiving the product and using it in accordance with the user manual.

Use of Services

Karmanx reserves the right to cancel or reschedule any course, program, services, live lectures/webinars, or to alter, modify, or rearrange the schedule of topics. This includes changes to the point value or weight of assignments, tests, quizzes, exams, projects, and other evaluations of progress. You understand that Karmanx, at its sole discretion, may limit, suspend, or terminate your use of the Website, Platform, or Application, as well as access to all related services, such as metaversity access, coaches, support services, evaluation services, certifications, or any other service provided therein.

Karmanx may also modify or discontinue any or all Services related to its courses, programs, or other offerings at its sole discretion. You agree that Karmanx shall not be liable to you or any third party for any such modification, suspension, or discontinuance. Nothing in these Terms obligates Karmanx to maintain and support the Website, Platform, Application, or any associated services. You agree that Karmanx shall have no liability to you in the event of non-availability of the Website, Application, Platform, or any portion thereof, caused by circumstances beyond its control, such as Force Majeure.

Subject to the applicable refund policy, if you no longer wish to use any Services through the Website, Application, or Platform, you may terminate your participation by giving prior notice to Karmanx. Participants in Karmanx’s online live lectures, courses, programs, and webinars will be provided access through the Website, Platform, Application, or via email. You agree not to share such access with any third party. If you are unable to attend an online live lecture/webinar, please provide Karmanx with prior notification. It is clarified that there is no refund of any payment in case you voluntarily terminate or stop availing of the Services.

You are solely responsible for obtaining and maintaining the equipment or ancillary services needed to connect to, access, and use the Website, Platform, or Application. This includes, but is not limited to, hardware devices, software, and internet, wireless, broadband, phone, VR headsets, and other mobile communication devices. You are responsible for ensuring that such equipment or ancillary services are compatible with the Website, Platform, or Application, and you will bear all associated costs and charges.

The contents of the Website, Application, Platform, and Services, including any course, seminar, or event, are developed to enhance job-related skills and present concepts covered in a structured curriculum syllabus. However, these Services are not intended to substitute for curriculum-based education provided by educational institutions. Instead, they are meant to supplement such education by presenting concepts in a manner that facilitates easier understanding and enhances the likelihood of better job evaluation performance. Basic definitions and formulae of the subject matter remain the same.

Karmanx acknowledges that there are various methods of delivering structured curriculum pedagogy. The inclusion of specific methods within the Application, Website, Platform, and Services does not imply endorsement of any particular method, nor does the exclusion of others imply disapproval.

Enrolling in any Service through the Website, Application, or Platform does not guarantee a job, the passing of any examination, or the achievement of any specified marks or percentages in any exams. Karmanx and/or Karmanx Entities may contact you via SMS, email, or phone to provide information about their offerings, products, updates, and notifications, or to seek permission for product demonstrations. By registering, you expressly grant permission to be contacted via phone, SMS, and email for these purposes.

The User expressly indemnifies Karmanx (including but not limited to Karmanx Entities) against any liabilities, including financial penalties, damages, or expenses in case the User's mobile number is registered with the Do Not Call (DNC) database. By registering, you agree to make your contact details available to Karmanx so that you may be contacted for educational information, offerings, and promotions through telephone, SMS, email, etc.
